Terms of Use

1. Acceptance of the Terms of Use
These terms of use are entered into by and between you and Knife Edge Software, LLC doing business as Zide Software (“Zide,” “Company,” “we,” “us,” or “our”). The following terms and conditions (“Terms of Use” or “Terms”) govern your access to and use of the Company’s desktop software application known as Zide, the website located at https://zide.dev, Zide Assist, AI-enabled features, server-backed services, documentation, downloads, updates, subscriptions, AI credit packages, support resources, and any other features, functionality, content, tools, products, or services we make available from time to time through any of the foregoing (collectively, the “Zide Platform” and, together with all related offerings, the “Services”).
Please read these Terms of Use carefully before you download, install, access, subscribe to, or use the Zide Platform or Services. By accessing or using the Zide Platform, downloading or installing the Software, clicking to accept these Terms of Use, checking an “I agree” box, completing a registration, purchase, subscription, or credit transaction, or otherwise manifesting your assent through any click wrap, sign-in wrap, checkout, installation, or similar electronic acceptance process we make available, you accept and agree to be bound by these Terms of Use, our Privacy Policy, our Acceptable Use Policy, and any additional terms presented to you in connection with specific features or transactions, each of which is incorporated herein by reference.
If you do not want to agree to these Terms of Use, the Privacy Policy, or the Acceptable Use Policy, you must not access, download, install, subscribe to, or use the Zide Platform or Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and references to “you” include both you and that entity.
The Zide Platform is intended for software developers and other users who can understand and evaluate software development tools, AI-generated outputs, source control workflows, and the risks of using automated coding assistance. The Services are not intended for children under 13. If you are under the age of majority in your jurisdiction but at least 13 years old, you may use the Services only with the consent and supervision of a parent or legal guardian, and any paid subscription, credit purchase, or binding transaction must be completed by a parent, legal guardian, or other person with legal capacity to contract. By using the Services, you represent and warrant that you meet the foregoing eligibility requirements and that your use of the Services is lawful in the jurisdiction where you are located.
We may revise and update these Terms of Use from time to time in our sole discretion. Changes will become effective upon posting, in-app notice, website notice, or on any later effective date stated in the updated Terms of Use, and will apply to access to and use of the Zide Platform thereafter. If changes materially affect your rights or obligations, we may also provide additional notice in a manner consistent with how we normally communicate with you. Your continued use of the Zide Platform following the posting or notice of revised Terms of Use means that you accept and agree to the changes.
2. Electronic Communications; Notices
By creating an account, downloading or using the Software, subscribing to Zide Assist, purchasing credits, or providing contact information to us or to our merchant of record, you consent to receive communications from the Company electronically, including by email, in-app message, account notice, Software notice, website posting, or other electronic means. You agree that any agreements, notices, disclosures, confirmations, renewal reminders, billing communications, security alerts, support responses, policy updates, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.
You are responsible for keeping your email address, account information, device settings, and other contact information current and accurate. We are not responsible for any delay or failure in your receipt of any notice or communication if such failure results from inaccurate account information, your failure to monitor your communication channels, spam filters, device settings, operating system settings, service interruptions, or other factors outside our reasonable control.
Where these Terms of Use require that you provide notice to us, you must send such notice to Knife Edge Software, LLC d/b/a Zide Software, 137 SW 3rd St., Corvallis, OR 97333, or to support@zide.dev if email notice is permitted or requested by us. Legal notices will not be effective until actually received by us.
3. How Zide Works
Zide is an agentic coding tool and integrated desktop software development environment designed to help developers work more efficiently with the tools they already use. The Software may include source control functionality, file management, file editing, issue tracking, code review tools, release workflows, terminal sessions, tabbed project workspaces, agentic chat, and other development-related features that may be added, modified, limited, or discontinued from time to time.
Users may work directly with their local files and projects through the Software, or may choose to use Zide Assist, the Company’s AI coding agent, to help generate, modify, explain, review, or otherwise assist with software code, project files, commands, configuration, documentation, issue workflows, or other development tasks. Certain AI features may require an active paid subscription, available credits, a supported operating environment, third-party AI availability, or other technical or account requirements.
Zide currently supports a free tier and paid subscription tiers. The free tier may permit limited use, including use with up to five public projects, while access to more than five projects, private projects, Zide Assist, included monthly credits, bulk credits, updates, paid features, or other functionality may require an active subscription. Specific features, limits, tiers, prices, credits, and entitlements may be listed on the Website, in the Software, at checkout, or in related documentation and may change over time as described in these Terms.
The Zide Platform is not merely a website. It includes a downloadable desktop application, local software functionality, server-backed account and subscription validation, third-party integrations, third-party AI model providers, payment processing through a merchant of record, and optional features such as voice dictation. Because the Services operate across your device, your local projects, your connected repositories and services, our systems, payment providers, and third-party AI or speech-processing providers, you are responsible for understanding and controlling what you connect, submit, authorize, execute, commit, push, deploy, or otherwise use through the Zide Platform.
4. Privacy Policy
The Company respects the privacy of its Zide Platform users. Please refer to the Company’s Privacy Policy, which explains how we collect, use, disclose, transmit, store, and otherwise process information relating to your use of the Zide Platform and Services, including account information, subscription validation information, payment-related information processed by our merchant of record, connected-service information, AI inputs and outputs, voice dictation data, usage information, and other information described in the Privacy Policy.
When you access or use the Zide Platform, submit information to us, connect third-party services, use AI Features, use voice dictation, purchase a subscription or credits, or otherwise interact with the Services, you acknowledge that information may be handled in accordance with our Privacy Policy and, where applicable, the terms and policies of third-party service providers.
5. Software License; Ownership; Restrictions
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the Zide desktop software application and related documentation on devices you own or control, solely for your personal, internal business, or internal development purposes and only in accordance with these Terms, the Acceptable Use Policy, the applicable subscription or license level, and any technical limitations we make available.
The Software is licensed, not sold. Except for the limited license expressly granted in these Terms, no right, title, or interest in or to the Zide Platform, Software, Services, Website, documentation, code, design, user interface, workflows, compilation, branding, trademarks, service marks, content, algorithms, product architecture, or other Company intellectual property is transferred to you. All rights not expressly granted are reserved by the Company and its licensors.
You may not, and may not permit any other person to: (a) copy, modify, translate, adapt, distribute, sell, rent, lease, sublicense, publish, host, outsource, timeshare, or otherwise commercially exploit the Software or Services except as expressly permitted by us in writing; (b) reverse engineer, decompile, disassemble, attempt to derive source code from, or otherwise attempt to discover the underlying structure, ideas, algorithms, or technical implementation of the Software or Services, except to the limited extent such restriction is prohibited by applicable law; (c) remove, alter, obscure, or bypass any proprietary notices, labels, license verification, activation, access control, subscription validation, copy-protection, entitlement, rate-limit, or security mechanisms; (d) use the Software or Services to build, train, benchmark, compare, or support a competing product or service, or to perform competitive analysis, feature comparison, model comparison, or performance testing for the benefit of a competing product or service, except with our prior written permission; (e) use the Software or Services in any safety-critical, life-critical, mission-critical, high-risk, or regulated environment, including aircraft navigation or control, air traffic control, medical devices or life support, weapons systems, nuclear facilities, critical infrastructure, emergency services, or any application where failure could lead to death, personal injury, severe physical or environmental damage, or material legal or financial harm; or (f) use the Software or Services in violation of applicable law, third-party rights, third-party terms, export controls, sanctions, open-source license obligations, employment or confidentiality obligations, or any other contractual or legal restriction that applies to you or your project.
6. Accounts; Registration; Account Responsibilities
Certain features, including paid subscriptions, Zide Assist, AI Features, server-backed services, subscription validation, credit balances, license entitlements, and account settings, may require you to create or maintain a Zide account. You agree to provide accurate, complete, and current information when you create your account, subscribe, purchase credits, or communicate with us, and you agree to keep that information current.
You are responsible for maintaining the confidentiality and security of your account credentials, access tokens, device authorization, subscription authorization token, API keys, connected-service credentials, and any device, repository, project, or third-party account that you connect to or use with Zide. You are fully responsible for all activity that occurs under your account, installation, license, subscription, credentials, or access rights, whether authorized by you or not, except to the extent caused directly by our gross negligence or willful misconduct where liability cannot be limited by law.
You must promptly notify us at support@zide.dev if you believe your account, credentials, token, device, repository, or connected service has been compromised, or if you become aware of any unauthorized use or other security incident involving the Zide Platform. We may suspend, restrict, or terminate access where we believe such action is necessary to protect the Company, you, other users, third-party providers, connected services, or the integrity of the Zide Platform.
7. Subscriptions, Credits, Purchases, and Payment Processing
A. Merchant of Record
Paid subscriptions, credit purchases, and related transactions may be processed by a third-party merchant of record, currently Polar, or another payment, checkout, tax, invoicing, or merchant-of-record provider we designate. The merchant of record may handle payment processing, subscription checkout, currency conversion, sales tax, VAT, invoicing, receipts, chargebacks, and other transaction-related functions on our behalf or as merchant of record. By completing a transaction, you agree to pay all amounts presented at checkout and you also agree to the merchant of record’s applicable terms, checkout terms, refund process, and privacy policy as presented at checkout.
B. Free Tier and Paid Subscriptions
Zide may be available at no cost through a free tier with limited functionality, including limits on the number or type of projects, public versus private project access, AI functionality, credits, updates, or other features. Additional features may be available through paid subscription tiers offered on a monthly, annual, promotional, trial, or other basis. Subscription prices, tier names, features, credit allowances, project limits, renewal terms, and entitlements may be displayed on the Website, in the Software, at checkout, or in related documentation.
Unless otherwise expressly stated at checkout, subscriptions renew automatically for successive billing periods until canceled. By starting a subscription, you authorize recurring charges to your selected payment method through the merchant of record. If payment fails, is reversed, is disputed, or is not cured within any applicable grace period, we may suspend, limit, or terminate your access to paid features, Zide Assist, AI Features, updates, subscription entitlements, and credits.
C. Cancellations and Plan Changes
You may cancel or change your subscription level through the subscription-management functionality we make available in the Software, on the Website, through the merchant of record, or through another method we identify. Cancellation stops future renewals but does not ordinarily affect the remainder of the then-current paid period. A downgrade, upgrade, cancellation, lapse, or non-payment may affect your access to paid features, AI Features, credits, updates, and license entitlements as described in these Terms and at checkout.
D. Monthly Credits and Bulk Credits
AI Features may consume credits. An active paid subscription may include a monthly credit allowance that resets at the beginning of each monthly cycle, regardless of whether you are billed monthly or annually. Unused monthly credits do not roll over and are forfeited at the end of the applicable monthly cycle. You may also be able to purchase additional credits in bulk packages (“Bulk Credits”). Bulk Credits are separate from included monthly credits, have no cash value, are not redeemable for money, are not transferable, and are not a deposit, stored value account, bank account, prepaid card, gift card, or property interest.
Bulk Credits may be used only while you maintain an active paid subscription and while the applicable AI Features remain available. If your subscription lapses, is canceled, or otherwise becomes inactive, unused Bulk Credits may be retained for up to twelve (12) months from the date the subscription becomes inactive, but cannot be used while your subscription is inactive because AI Features require an active subscription. If you resubscribe within that twelve-month period, access to remaining unexpired Bulk Credits may be restored. If you do not resubscribe within that period, unused Bulk Credits are permanently forfeited, except to the extent applicable law requires otherwise.
E. Refunds
If you are not satisfied with your paid Zide subscription, you may request a refund within thirty (30) days of your most recent subscription payment by contacting support@zide.dev or by following the merchant of record’s support process. Because AI credits represent value that is consumed as you use AI Features, refunds may be reduced by the value of any included monthly allowance credits used during the applicable period, calculated at our then-current standard credit rates. If the value of used credits equals or exceeds the amount paid for the applicable period, no refund may be due. Bulk Credit purchases are separate from subscription payments and are non-refundable except to the extent required by applicable law or expressly stated by us in writing. After the thirty-day refund period, the payment for that billing period is final unless applicable law requires otherwise.
F. Pricing and Plan Changes
We may change fees, plan structures, tiers, credits, entitlements, usage limits, included features, project limits, checkout terms, or access rules at any time, including on renewal, subject to applicable law. We may add, modify, limit, suspend, or discontinue features for legal, compliance, safety, abuse-prevention, technical, third-party dependency, payment processor, business, operational, or security reasons. If we determine in our discretion that a change materially affects your access during an active paid period, we may offer a commercially reasonable accommodation, such as restoring access, extending access, substituting reasonably comparable access, or another remedy, but we are not obligated to provide refunds or credits except as required by law or expressly stated in these Terms.
8. Rent-to-Own Perpetual License
If you maintain an active paid Zide subscription for twelve (12) consecutive months on any paid tier, you may earn a perpetual license to continue using the paid application features of the version of the Software installed at that time, even if you later cancel your subscription (the “Perpetual License”). For this purpose, “consecutive months” means an unbroken period of active, paid subscription; any lapse, cancellation, non-payment, chargeback, refund, or payment failure before twelve continuous months have elapsed resets the qualifying period, unless we expressly state otherwise in writing.
The Perpetual License applies only to the paid application features present in your then-current installed version of the Software. It does not include Software updates, bug fixes, improvements, new features, new versions, server-backed services, Zide Assist, AI Features, AI credits, voice dictation, third-party AI access, third-party service availability, support, subscription validation, cloud or account services, or any feature that requires an active subscription or ongoing server or third-party provider access.
Canceling your subscription after the Perpetual License has vested does not revoke your right to use the paid application features of your installed version, provided you remain in compliance with these Terms. Canceling before the Perpetual License has vested ends your access to paid features at the end of your current billing period. The Perpetual License remains subject to all restrictions, disclaimers, limitations, termination rights, and other provisions of these Terms, including our right to terminate for breach.
9. Software Updates; Changes to the Services
While your paid subscription is active, you may receive access to Software updates that we make generally available, including bug fixes, improvements, security updates, compatibility updates, new features, and new versions, at our discretion. We are not obligated to provide updates, future versions, maintenance, support, backward compatibility, compatibility with any operating system, or compatibility with any third-party service, repository, API, AI provider, speech provider, payment provider, or development tool.
We may modify, suspend, restrict, discontinue, or replace all or any part of the Zide Platform or Services at any time, including features, subscriptions, AI Features, credit packages, integrations, documentation, support, website content, downloads, local functionality, server-backed functionality, and Beta Features. Where practicable, we may use reasonable efforts to provide advance notice of a material discontinuation, but we are not responsible for any inability to provide notice or for any change caused by legal, security, technical, third-party, provider, payment, or operational circumstances.
10. AI Features; Zide Assist; AI Output
A. AI Features
The Zide Platform may include features that integrate with or utilize artificial intelligence services, large language models, code models, speech-to-text services, AI agents, and related tools (collectively, “AI Features”). AI Features may include Zide Assist, agentic chat, one-click AI actions, code generation, code modification, code review, file edits, repository-related suggestions, command suggestions, issue-related assistance, release-related assistance, terminal-related assistance, transcript cleanup, and other AI-supported workflows.
AI Features may process your prompts, instructions, code, file contents, repository data, issue information, project context, terminal context, chat history, voice transcripts, and other materials from your local environment, connected services, or interactions with the Zide Platform (collectively, “Inputs”) through third-party AI providers or other service providers. Your use of AI Features is voluntary and at your sole discretion.
B. No Warranty on AI Output
AI-GENERATED CONTENT, CODE, COMMANDS, SUGGESTIONS, FILE CHANGES, REVIEWS, EXPLANATIONS, TRANSCRIPTS, WORKFLOWS, AND OTHER OUTPUT (“AI OUTPUT”) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, SECURE, RELIABLE, CURRENT, ERROR-FREE, NON-INFRINGING, LICENSE-COMPLIANT, COMPILABLE, EXECUTABLE, DEPLOYABLE, OR FIT FOR ANY PARTICULAR PURPOSE.
AI Output may contain errors, hallucinations, omissions, insecure code, destructive commands, unintended file changes, inaccurate explanations, inappropriate suggestions, open-source license issues, intellectual property issues, privacy issues, security vulnerabilities, or other unsuitable or harmful content. AI Output may be similar or identical to output generated for other users and is not exclusive to you.
C. User Responsibility for AI Output and Agentic Actions
You are solely responsible for reviewing, validating, testing, securing, auditing, approving, rejecting, modifying, executing, committing, pushing, deploying, distributing, or otherwise using any AI Output or AI-suggested action. You assume all risk associated with AI Output, including any loss, corruption, deletion, or alteration of files, repositories, history, branches, settings, credentials, configurations, systems, deployments, infrastructure, data, or connected services.
Without limiting the foregoing, you are solely responsible for determining whether AI Output compiles, runs, performs, and functions as intended; complies with applicable law and third-party rights; satisfies any open-source, proprietary, employment, customer, contractual, security, privacy, export, or compliance obligation; introduces security vulnerabilities or malicious code; affects production systems; or is appropriate for your project, business, users, customers, or use case.
D. No Professional Engineering, Security, or Compliance Assurance
Zide is a tool to assist developers. It does not replace professional judgment, code review, testing, security review, legal review, compliance review, quality assurance, or deployment controls. The Company does not guarantee that the Software, Zide Assist, AI Features, or AI Output will create correct, secure, compliant, maintainable, or commercially usable software. You should not rely on AI Output without independent review and testing by qualified personnel.
11. Inputs, AI Output, Ownership, and Model Training
As between you and the Company, you retain all rights you hold in your Inputs, project files, code, repositories, prompts, instructions, and other materials you submit to or use with the Zide Platform. You represent and warrant that you have all rights, permissions, authority, and consents necessary to submit, process, transmit, and use your Inputs through the Zide Platform and that your Inputs and use of AI Output do not violate these Terms, the Acceptable Use Policy, applicable law, or any third-party rights.
To the extent the Company holds any right, title, or interest in AI Output generated for you through the Zide Platform, the Company assigns that interest to you upon generation, subject to your compliance with these Terms, the rights of third parties, the terms and policies of third-party AI providers, and the limitations inherent in AI-generated output. We do not represent that AI Output is protectable by copyright, exclusive, non-infringing, confidential, free of third-party rights, or not similar to output generated for others.
We do not use your Inputs or AI Output to train, fine-tune, or develop AI models for our own benefit. Third-party AI providers, speech-to-text providers, hosting providers, or other service providers that fulfill your requests may process your content under their own terms and policies, including their own practices regarding retention, abuse monitoring, security, and model improvement. We are not responsible for the independent data practices of third-party providers. If we ever offer a feature or program that uses your content to help improve AI models, we will describe it separately and enroll you only with your explicit, opt-in consent.
12. Voice Dictation
If you use voice dictation in Zide Assist or another Zide feature, the Software may capture audio from your microphone while you are actively recording and may transmit that audio through the Zide proxy or related server-backed services to third-party speech-to-text and language-model providers to produce, clean up, and return a text transcript. The transcript may be returned to the Software for you to review before you send, submit, edit, or use it.
Audio is intended to be captured only while you are actively dictating or recording through the applicable feature. Microphone access requires your operating system’s permission and can be disabled or revoked through your operating system settings. You are responsible for using voice dictation lawfully, including complying with any applicable consent, recording, employment, confidentiality, privacy, or workplace requirements that may apply to audio captured in your environment.
Voice dictation may involve third-party providers, and their processing, retention, security, and data practices may be governed by their own terms and policies. You should not dictate sensitive, confidential, regulated, personal, or proprietary information unless you have determined that using voice dictation for that information is appropriate and lawful.
13. Third-Party Services, Integrations, and Credentials
The Zide Platform may integrate with or link to third-party services, tools, accounts, APIs, repositories, issue trackers, source-code hosts, AI providers, speech-to-text providers, payment providers, documentation, hosting providers, websites, and other resources (collectively, “Third-Party Services”). These may include GitHub, GitLab, Bitbucket, Jira, Polar, third-party AI model providers, third-party speech-to-text providers, and other services or tools we support from time to time.
Your use of Third-Party Services is governed by their respective terms, policies, permissions, data practices, usage limits, API restrictions, rate limits, security practices, pricing, availability, and access requirements. We do not control and are not responsible for Third-Party Services, including their uptime, accuracy, security, privacy practices, model behavior, data handling, payment handling, terms, changes, deprecations, outages, errors, rate limits, API changes, or discontinuation.
To connect a Third-Party Service, the Software may require credentials, tokens, OAuth authorization, API keys, personal access tokens, device permissions, repository permissions, or similar authorization. You are responsible for maintaining valid credentials, granting only appropriate permissions, revoking access when appropriate, protecting secrets, and complying with the terms and policies of each Third-Party Service. Unless stated otherwise in our Privacy Policy, connected-service credentials are intended to be stored locally on your device and transmitted only as necessary to the corresponding Third-Party Service or to operate the feature you choose to use.
14. Local Data, Data Loss, and Security Responsibilities
The Software may store settings, issue records, cached information, project context, credentials, tokens, logs, preferences, subscription validation information, or other data locally on your device. Your local files, repositories, development environment, credentials, secrets, backups, devices, networks, and connected services are under your control. You are responsible for maintaining backups, using appropriate version control practices, protecting secrets, reviewing file changes, and implementing security practices appropriate for your projects and business.
The Zide Platform may assist with file editing, source control, terminal sessions, AI-generated modifications, repository operations, and other development workflows that can affect local or connected systems. You acknowledge that use of the Software may result in unintended changes, deleted files, corrupted data, altered repository history, failed builds, failed deployments, security issues, or other technical consequences. You are responsible for testing, confirming, backing up, and controlling all actions before relying on, executing, committing, pushing, deploying, or distributing any changes.
15. Acceptable Use Policy
Your use of the Zide Platform and Services must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Without limiting the Acceptable Use Policy, you agree not to use the Zide Platform or Services to create, facilitate, assist, automate, conceal, or enable unlawful, harmful, abusive, infringing, fraudulent, deceptive, invasive, unsafe, or unauthorized activity.
You agree not to use the Zide Platform or Services to: (a) develop, generate, modify, deploy, distribute, or assist with malware, ransomware, spyware, credential theft, phishing, botnets, exploit kits, unauthorized vulnerability exploitation, destructive code, or systems intended to compromise or harm others; (b) gain or attempt to gain unauthorized access to accounts, repositories, networks, systems, devices, data, APIs, credentials, tokens, or Third-Party Services; (c) violate intellectual property, privacy, publicity, confidentiality, contractual, employment, open-source, export control, sanctions, consumer protection, or other legal rights or obligations; (d) submit, process, or expose sensitive personal information, confidential information, regulated data, trade secrets, credentials, secrets, or third-party proprietary materials unless you have all necessary rights and have determined that such use is lawful and appropriate; (e) scrape, overload, probe, scan, attack, disrupt, interfere with, or test the vulnerability of the Zide Platform, our systems, or any Third-Party Service except as expressly authorized in writing; (f) bypass, disable, abuse, or interfere with usage limits, subscription validation, credit accounting, rate limits, security controls, license restrictions, payment processes, access controls, or technical protection measures; (g) use automated means to create accounts, obtain credits, evade limits, scrape content, perform unauthorized benchmarking, or place an unreasonable load on the Zide Platform or any Third-Party Service; or (h) use the Zide Platform for safety-critical, life-critical, weapons, surveillance, biometric identification, regulated, unlawful, or high-risk applications where failure or misuse could cause material harm, unless we have expressly authorized such use in writing and all applicable legal requirements are satisfied.
We may investigate suspected violations, suspend or terminate accounts or subscriptions, disable features, withhold or revoke credits, restrict access, remove or block content or activity, report activity to service providers or authorities, and take any other action we determine is necessary or appropriate to protect the Company, users, third parties, Third-Party Services, or the integrity of the Zide Platform.
16. User Materials; Feedback; Public or Interactive Features
If the Zide Platform permits you to submit, upload, transmit, display, publish, share, or otherwise make content available to us or to other users, including feedback, bug reports, comments, prompts, code snippets, examples, support requests, documentation suggestions, or other materials (collectively, “User Materials”), you are solely responsible for those User Materials and for ensuring that you have all rights necessary to provide and use them.

Any User Materials you voluntarily provide through public or shared features may be treated as non-confidential and non-proprietary to the extent made public or submitted for feedback purposes.
If you provide us with any feedback, suggestions, ideas, bug reports, enhancement requests, comments, concepts, or recommendations regarding the Zide Platform (“Feedback”), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free, worldwide license to use, reproduce, modify, distribute, make available, create derivative works from, and otherwise exploit that Feedback for any purpose, without compensation, attribution, approval, or accounting to you. You acknowledge that we may independently develop or receive ideas similar or identical to your Feedback and may use such ideas without restriction.
17. Intellectual Property; Website Content; Trademarks
The Zide Platform, Software, Website, Services, documentation, code, design, graphics, logos, interfaces, workflows, product architecture, text, images, videos, tutorials, examples, downloads, compiled materials, trademarks, service marks, trade names, and other Company content and materials are owned by the Company or its affiliates, licensors, service providers, or other rights holders and are protected by copyright, trademark, trade secret, patent, and other intellectual property and proprietary rights laws.
You may use Company content solely as necessary to use the Zide Platform for your own personal, internal business, or internal development purposes in accordance with these Terms. You may not modify, reproduce, retransmit, distribute, sell, sublicense, publish, broadcast, scrape, copy, archive, repurpose, train any model on, benchmark for competitive purposes, or circulate Company content without our prior written permission, except as expressly permitted by these Terms or applicable law.
Unless otherwise labeled, all trademarks, service marks, logos, banners, product names, page headers, trade names, and brand features displayed in or through the Zide Platform are the property of the Company or the applicable rights holder. You may not use the Company’s marks without our prior written permission.
18. Website; Downloads; External Links
The Website provides information about the Software, documentation, blog content, downloads, subscription information, purchase links, support resources, and other materials. We grant you a limited, non-exclusive, revocable license to access and use the Website for your personal, informational, and internal business purposes, subject to these Terms and the Acceptable Use Policy.
Software you download from the Website is licensed, not sold, and your use of it is governed by these Terms. Subscriptions and credit purchases initiated through the Website may be processed by our merchant of record as described in these Terms. The Website may contain links to Third-Party Services and resources, including source-code hosts, documentation, payment providers, and other sites. We provide these links for convenience only and do not endorse, and are not responsible for, the content, products, practices, availability, security, or policies of any third-party site or resource.
19. Beta, Public Beta, Preview, and Pre-Release Features
The Company may offer features, tools, workflows, content, integrations, builds, downloads, or functionality designated as alpha, beta, public beta, preview, early access, test, experimental, pre-release, or similar status (“Beta Features”). Beta Features may be incomplete, experimental, limited in availability, unstable, subject to additional terms, and more likely to contain bugs, interruptions, errors, data loss, security issues, design changes, or discontinued functionality.
Beta Features are provided on an as-is and as-available basis, with all faults and without warranty of any kind. The Company may modify, suspend, restrict, discontinue, or delete any Beta Feature at any time, with or without notice, and has no obligation to release a commercial version, continue supporting any Beta Feature, preserve compatibility, or maintain any data, settings, credits, or access associated with Beta Features. Your use of Beta Features is at your own risk.
20. Term; Suspension; Termination
These Terms of Use will remain in full force and effect while you access or use the Zide Platform or Services. We may suspend, restrict, disable, discontinue, or terminate your account, subscription, license, Software access, updates, AI Features, credits, support, or any feature at any time and for any reason or no reason, in our sole discretion, including for any actual or suspected violation of these Terms, the Acceptable Use Policy, payment failure, chargeback, abuse, security concern, legal or compliance concern, third-party provider issue, export-control concern, or business, technical, operational, or safety reason.
Upon termination of your rights under these Terms, your right to access and use the affected portions of the Zide Platform will terminate immediately or as otherwise stated by us. You may be required to cease use of the Software, destroy copies in your possession, disconnect Third-Party Services, and stop using any paid features, AI Features, credits, or server-backed functionality. Termination may involve deletion, disabling, or loss of access to your account, entitlements, settings, subscription data, credit balances, support history, or other materials associated with your use of the Zide Platform, except to the extent required by applicable law.
The provisions of these Terms that by their nature should survive termination shall survive, including provisions concerning intellectual property, license restrictions, payments, credits, refunds, Inputs and AI Output, Feedback, disclaimers, limitations of liability, indemnification, dispute resolution, export controls, and general provisions.
21. Your Indemnification of Us
You agree to indemnify, defend, and hold harmless the Company and its officers, managers, members, directors, owners, employees, contractors, agents, affiliates, licensors, service providers, payment processors, AI providers, successors, and assigns from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your access to or use of the Zide Platform or Services; (b) your Inputs, User Materials, Feedback, or AI Output; (c) your use, execution, deployment, distribution, commercialization, or reliance on AI Output; (d) your violation of these Terms, the Acceptable Use Policy, or any applicable law; (e) your violation of third-party rights or third-party terms; (f) your connected repositories, credentials, API keys, devices, systems, or Third-Party Services; or (g) any activity under your account, subscription, installation, credentials, or access rights.
You shall cooperate fully and reasonably in the defense of any such claim. The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you may not settle any matter in a manner that imposes liability or obligation on the Company without our prior written consent.
22. Warranty Disclaimer
THE ZIDE PLATFORM, SOFTWARE, WEBSITE, SERVICES, ZIDE ASSIST, AI FEATURES, AI OUTPUT, CREDITS, DOCUMENTATION, DOWNLOADS, SUPPORT, BETA FEATURES, THIRD-PARTY INTEGRATIONS, SERVER-BACKED SERVICES, AND ALL RELATED CONTENT AND FUNCTIONALITY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, RELIABILITY, QUIET ENJOYMENT, COURSE OF DEALING, COURSE OF PERFORMANCE, AND USAGE OF TRADE.
We do not warrant that the Zide Platform or Services will be uninterrupted, error-free, secure, accurate, complete, current, free of viruses or harmful components, compatible with your device, operating system, repositories, projects, credentials, tools, development environment, Third-Party Services, or business needs, or that any AI Output will be correct, secure, non-infringing, license-compliant, useful, executable, deployable, or fit for your intended purpose. You use the Zide Platform and Services at your own risk.
23. Liability Disclaimer
YOUR USE OF THE ZIDE PLATFORM AND SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, AND ITS AND THEIR RESPECTIVE OFFICERS, MANAGERS, MEMBERS, OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, LICENSORS, SERVICE PROVIDERS, PAYMENT PROCESSORS, AI PROVIDERS, SPEECH PROVIDERS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, LOSS OF CODE, LOSS OF FILES, LOSS OF REPOSITORIES, SYSTEM FAILURE, SECURITY BREACH, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE ZIDE PLATFORM, THE SERVICES, THE SOFTWARE, ZIDE ASSIST, AI FEATURES, AI OUTPUT, CREDITS, THIRD-PARTY SERVICES, OR ANY ACTION TAKEN OR NOT TAKEN IN RELIANCE ON ANY OF THE FOREGOING, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the foregoing, the Company is not responsible for losses or damages arising from AI Output, AI-suggested commands, file changes, code changes, repository changes, terminal actions, deleted or corrupted files, security vulnerabilities, failed builds, failed deployments, open-source license issues, intellectual property claims, third-party provider outages, payment processor issues, credit accounting issues, lost credits, subscription interruptions, operating system changes, device failures, network failures, unauthorized access to your account or device, or your failure to maintain backups, test code, review output, secure credentials, or comply with third-party terms.
If, despite the liability limitations above, the Company is found liable to you for any claim arising out of or relating to the Zide Platform or Services, the Company’s total aggregate liability shall not exceed the greater of one hundred dollars ($100.00) or the amount you paid directly or indirectly for the Services during the three (3) months immediately preceding the event giving rise to the claim. The foregoing does not affect any liability that cannot be excluded or limited under applicable law.
24. Third-Party Links, Content, Providers, and Dependencies
The Zide Platform may provide links, embeds, references, integrations, downloads, checkout flows, OAuth flows, API-based connections, or other access to Third-Party Services and third-party content. These are provided as a convenience and for functionality only. Inclusion of, linking to, integrating with, or permitting access to any Third-Party Service or third-party content does not imply approval, sponsorship, affiliation, or endorsement by the Company.
If you decide to access, connect, authorize, install, use, or rely on any Third-Party Service or third-party content, you do so at your own risk. You should review the applicable terms, policies, permissions, and privacy practices of each Third-Party Service, including GitHub, GitLab, Bitbucket, Jira, Polar, AI providers, speech-to-text providers, hosting providers, operating system providers, and any other service you use with or through the Zide Platform.
25. Force Majeure
The Company shall not be liable or responsible for any delay, interruption, failure in performance, suspension, inaccessibility, data loss, credit interruption, AI unavailability, provider failure, checkout failure, update failure, or inability to perform caused in whole or in part by any event or condition beyond its reasonable control, including acts of God, natural disasters, flood, fire, earthquake, severe weather, war, terrorism, civil unrest, labor disputes, governmental action, epidemic, pandemic, public health event, power outage, internet or telecommunications failure, denial-of-service attack, cyberattack, malware, software failure, hosting outage, payment processor issue, merchant-of-record issue, AI provider outage, speech provider outage, API change, source-code host outage, operating system change, supply chain disruption, or other similar event. During any such event, the Company may suspend, limit, or modify access to the Zide Platform or Services without liability.
26. Geographic Restrictions; Export Controls and Sanctions
The Company is based in the United States. The Company makes no claims that the Zide Platform, Services, Software, Website, content, AI Features, subscriptions, credits, or downloads are accessible, appropriate, or lawful outside of the United States. If you access or use the Zide Platform from outside the United States, you do so on your own initiative and at your own risk, and you are solely responsible for compliance with all local laws, rules, and regulations. Nothing in the Zide Platform or Services constitutes an offer or solicitation where such offer or solicitation is unlawful.
The Software, Services, AI Features, technical data, and related content may be subject to export control, sanctions, and trade compliance laws of the United States and other jurisdictions. You represent and warrant that you are not located in, ordinarily resident in, organized under the laws of, or subject to comprehensive sanctions in any country or territory that is the subject of U.S. embargoes or similar restrictions; that you are not identified on any U.S. government restricted party list; and that you will not access, use, export, reexport, download, transmit, or otherwise make available the Zide Platform or related content in violation of any applicable export control, sanctions, or trade compliance law or regulation.
You may not use the Zide Platform or Services for any purpose prohibited by export control or sanctions laws, including the development, design, manufacture, or production of nuclear, chemical, or biological weapons, missile technology, military end uses prohibited by law, or other restricted uses. The Company may restrict, suspend, or terminate access where it believes such action is necessary or appropriate to comply with applicable export control or sanctions laws.
27. Disputes; Governing Law; Time Limitation
These Terms of Use and any dispute, claim, or controversy arising out of or relating to the Zide Platform, the Services, the Software, AI Features, AI Output, subscriptions, credits, transactions, or these Terms of Use shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to conflict of law principles.
Subject to any non-waivable rights under applicable law, you and the Company agree that the exclusive jurisdiction and venue for any action arising out of or relating to these Terms of Use or the Zide Platform shall be the state or federal courts located in Benton County, Oregon, and each party irrevocably submits to the personal jurisdiction of such courts.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE ZIDE PLATFORM, OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR SUCH CAUSE OF ACTION OR CLAIM SHALL BE PERMANENTLY BARRED, EXCEPT TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.
28. Waiver; Severability; Assignment; Entire Agreement; Consumer Rights
No waiver by the Company of any term or condition in these Terms of Use will be effective unless in writing and signed by the Company. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions continue in full force and effect.
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment without consent is void. We may assign or transfer these Terms and our rights and obligations, in whole or in part, without notice or consent, including in connection with a merger, acquisition, reorganization, financing, sale of assets, or change of control.
These Terms of Use, together with the Privacy Policy, Acceptable Use Policy, checkout terms, feature-specific terms, and other terms expressly incorporated by reference, constitute the sole and entire agreement between you and the Company with respect to the Zide Platform and Services, and supersede all prior and contemporaneous understandings, agreements, representations, warranties, and communications relating to the Zide Platform and Services.
Nothing in these Terms excludes or limits any rights you may have under mandatory consumer-protection or other laws that cannot be waived by agreement. The disclaimers, limitations of liability, refund terms, jurisdiction provisions, and other limitations in these Terms apply only to the extent permitted by applicable law.
29. DMCA Copyright Policy
The Company respects the intellectual property rights of others and expects users of the Zide Platform and Services to do the same. If you believe that your copyrighted work has been copied, posted, transmitted, made available, or otherwise used on or through the Zide Platform in a way that constitutes copyright infringement, please send a written notice to support@zide.dev that includes the information required by 17 U.S.C. Section 512(c)(3), including a description of the copyrighted work, a description of the material claimed to be infringing, your contact information, a good-faith statement, a statement under penalty of perjury that the notice is accurate and that you are authorized to act for the copyright owner, and your physical or electronic signature.
Please note that any material misrepresentation in a written notification may subject the complaining party to liability for damages, costs, and attorneys’ fees. It is the policy of the Company to disable or terminate accounts of users who repeatedly infringe intellectual property rights.
