Acceptable Use Policy

Effective Date: August 5, 2026

This Acceptable Use Policy (“AUP”) describes activities that are prohibited when accessing or using the Zide desktop application (“Software”), the Zide Platform, Zide Assist, AI-enabled features, voice dictation, server-backed services, subscriptions, AI credits, the website located at https://zide.dev (the “Website”), connected-service integrations, and all related products, tools, content, functionality, and services made available by Knife Edge Software, LLC doing business as Zide Software (“Zide,” “Company,” “we,” “us,” or “our”) (collectively, the “Services”).

This AUP is incorporated into and forms part of our Terms of Use. Capitalized terms not defined in this AUP have the meanings assigned to them in the Terms of Use. By downloading, installing, accessing, subscribing to, or using any part of the Services, you agree to comply with this AUP and to require each person who uses the Services through your account, installation, credentials, device, subscription, or authorization to comply with it. If you do not agree, you must not use the Services.

This AUP is not exhaustive. We may restrict, suspend, or take other action against conduct that is not specifically listed when we reasonably determine that the conduct creates or may create legal, security, privacy, safety, financial, operational, reputational, or technical risk to the Services, the Company, other users, third parties, or the public, or may cause us or a third-party provider to violate applicable law, contractual obligations, provider policies, or security requirements.


1. Your Responsibility

You are responsible for all activity conducted through your installation, account, credentials, authorization tokens, devices, subscriptions, AI credits, connected services, and any access or permissions you grant to another person or entity. You must safeguard those access methods, use reasonable security measures, promptly notify us of suspected unauthorized use, and ensure that every person who uses the Services through your access complies with this AUP.

You are also responsible for obtaining all rights, permissions, notices, and consents required to upload, connect, transmit, record, process, use, execute, publish, deploy, or otherwise make available any code, files, repositories, credentials, personal data, confidential information, voice recordings, Inputs, or other materials through the Services. You remain solely responsible for reviewing, testing, validating, securing, licensing, and lawfully using all AI Output, code, commands, configurations, transcripts, and other results generated or modified through the Services.

2. Prohibited Conduct

You may not use the Services, directly or indirectly, to engage in, attempt, facilitate, encourage, assist, or permit any activity described in this Section. These restrictions apply to your own conduct and to the conduct of any person who accesses or uses the Services through your account, installation, credentials, authorization token, subscription, or other access. The examples below are not exhaustive, and the Company may restrict or prohibit other conduct that it reasonably determines threatens the Services, the Company, other users, third parties, or compliance with applicable law.

2.1 Unlawful, Abusive, or Harmful Activity

You may not use the Services to engage in unlawful, abusive, deceptive, exploitative, or harmful conduct, including to:

  • Violate any applicable law, regulation, court order, governmental restriction, contractual obligation, or the rights of any person or entity.
  • Infringe, misappropriate, or otherwise violate any copyright, trademark, patent, trade secret, privacy right, publicity right, confidentiality obligation, contractual right, or other intellectual-property or proprietary right.
  • Create, submit, generate, store, transmit, publish, or distribute content that is unlawful, defamatory, fraudulent, harassing, abusive, threatening, discriminatory, obscene, or otherwise intended to harm another person.
  • Create, possess, distribute, facilitate, or promote child sexual abuse material, sexual exploitation of minors, grooming, trafficking, or any other content or activity that harms or exploits children.
  • Engage in fraud, phishing, impersonation, identity theft, social engineering, credential theft, false representation, or any other deceptive or misleading practice.
  • Publish, generate, facilitate, or assist with doxxing, stalking, unlawful tracking, unlawful surveillance, non-consensual sharing of intimate imagery, or disclosure of another person’s private or sensitive information without authorization.
  • Promote, praise, recruit for, support, finance, facilitate, or provide operational assistance for terrorism, violent extremism, organized violence, criminal organizations, or unlawful acts of violence.
  • Encourage or facilitate self-harm, suicide, physical abuse, or conduct that creates a substantial risk of death, bodily injury, or serious harm.
  • Create or disseminate spam, unsolicited bulk communications, deceptive advertising, fraudulent solicitations, or other abusive messaging.
  • Use the Services in violation of applicable export-control, trade-sanctions, anti-boycott, embargo, or restricted-party laws, including for the benefit of any person or entity with whom dealings are prohibited.

2.2 Security, Integrity, and Unauthorized Access

You may not interfere with the security, integrity, availability, reliability, or proper operation of the Services, any connected service, or any related system, including to:

  • Probe, scan, test, assess, or attempt to identify a vulnerability in the Services or any related system or network without the Company’s prior written authorization.
  • Gain or attempt to gain unauthorized access to the Services, another user’s account or data, any connected repository, any third-party service, or any computer system or network.
  • Circumvent, disable, defeat, bypass, manipulate, or interfere with any authentication, authorization, security, encryption, access-control, license-verification, activation, credit-metering, billing, rate-limiting, usage-limiting, monitoring, or copy-protection mechanism.
  • Introduce, upload, transmit, execute, generate, deploy, or distribute malware, ransomware, spyware, viruses, worms, trojans, logic bombs, malicious scripts, exploits, backdoors, credential-stealing tools, or other harmful code.
  • Interfere with, disrupt, overload, degrade, disable, impair, or place an unreasonable or disproportionate burden on the Services or any related infrastructure.
  • Access, alter, delete, damage, corrupt, exfiltrate, or disclose data, files, repositories, credentials, configurations, or systems without authorization.
  • Use the Services to conduct denial-of-service attacks, distributed denial-of-service attacks, botnet activity, cryptojacking, unauthorized penetration testing, or other hostile or abusive activity.
  • Conceal, falsify, or manipulate the origin, identity, destination, ownership, or routing of any request, transmission, account, or activity.
  • Interfere with or evade security alerts, abuse-detection systems, usage monitoring, logging, audit mechanisms, or enforcement measures.

Good-faith security research is permitted only with the Company’s prior written authorization and only within the scope, limitations, and procedures approved by the Company. Authorized research must not access, modify, destroy, disclose, or exfiltrate another person’s data, impair the Services, violate applicable law, or create an unreasonable risk to the Company, the Services, users, or third parties.

2.3 Account, Subscription, Credit, and Platform Abuse

You may not misuse any account, subscription, license, authorization token, payment method, AI credit, free-tier benefit, promotional feature, or other access right, including to:

  • Share, sell, resell, sublicense, lease, transfer, assign, or otherwise make your account, subscription, license, credits, authorization token, or access credentials available outside the scope of the applicable license.
  • Permit unauthorized users to access or use the Services through your account, installation, subscription, credentials, device, or authorization token.
  • Create or maintain multiple accounts, identities, subscriptions, or payment arrangements to evade restrictions, obtain duplicate promotional benefits, avoid enforcement, or manipulate free-tier or credit limits.
  • Exceed, evade, manipulate, falsify, or interfere with usage limits, project limits, credit balances, credit consumption, billing calculations, subscription levels, eligibility rules, or other technical or commercial restrictions.
  • Obtain or attempt to obtain the Services, credits, subscriptions, refunds, discounts, or promotional benefits through fraud, chargeback abuse, false information, unauthorized payment methods, or other improper means.
  • Use automated tools, scripts, bots, agents, or other mechanisms to generate requests, consume credits, create accounts, or access the Services in a manner that exceeds ordinary permitted use or places an unreasonable burden on the Services.
  • Reverse engineer, decompile, disassemble, decode, translate, derive, or attempt to discover the source code, object code, models, prompts, system instructions, architecture, algorithms, training methods, internal logic, or other underlying components of the Services, except to the limited extent such restriction is prohibited by applicable law.
  • Use the Services, or any non-public information obtained through the Services, to create, train, improve, benchmark, evaluate, or support a competing product or service.
  • Copy, scrape, harvest, extract, index, archive, mirror, reproduce, or systematically collect data, content, metadata, prompts, responses, outputs, pricing information, usage information, or other materials from the Services, except through interfaces and within limits expressly authorized by the Company.
  • Intentionally bypass, disable, manipulate, or circumvent any safety guardrail, content filter, prompt restriction, abuse-prevention control, or usage restriction, including through jailbreaking, prompt injection, adversarial prompting, or similar techniques.
  • Use Inputs, AI Output, Software content, or other Service materials to train, fine-tune, distill, extract, replicate, or improve any machine-learning or artificial-intelligence model without the Company’s prior written authorization.

2.4 AI Features, Inputs, Outputs, Voice Data, and Sensitive Information

You may not misuse any AI Feature, Input, AI Output, voice-dictation feature, or related processing functionality, including to:

  • Submit, upload, transmit, or otherwise provide any Input, code, file, repository content, recording, transcript, or other material that you do not own or have lawful authority to use, disclose, or process.
  • Submit confidential, proprietary, restricted, or trade-secret information unless you are authorized to do so and have independently determined that the submission is appropriate under all applicable confidentiality, security, privacy, and contractual obligations.
  • Submit production secrets, passwords, API keys, access tokens, signing keys, private cryptographic keys, authentication credentials, or other security-sensitive information unless you are expressly authorized to do so and the disclosure is necessary for a permitted use of the Services.
  • Submit protected health information governed by HIPAA, cardholder data governed by PCI-DSS, nonpublic personal information governed by the Gramm-Leach-Bliley Act, biometric identifiers, government-issued identifiers, financial-account information, precise geolocation data, children’s information, or other sensitive or regulated data unless the Company has expressly agreed in writing to support that use.
  • Use voice dictation or any recording functionality to record, capture, transmit, process, or transcribe another person’s voice or conversation without all notices, permissions, and consents required by applicable wiretap, recording, privacy, employment, communications, and data-protection laws.
  • Use voice dictation to submit confidential, privileged, regulated, or sensitive information unless you are authorized to do so and have determined that transmission to the Company and applicable third-party providers is lawful and appropriate.
  • Use AI Features to create, develop, improve, distribute, deploy, or facilitate malware, ransomware, exploits, phishing tools, spam systems, credential-stealing tools, destructive code, or other harmful technologies.
  • Use AI Features to create or disseminate fraudulent content, deceptive synthetic media, impersonations, forged documents, manipulated evidence, false endorsements, or content intended to deceive another person about its origin or authenticity.
  • Represent AI-generated or AI-assisted content as entirely human-generated where doing so would be deceptive, fraudulent, unlawful, or misleading.
  • Use AI Features to create or disseminate materially false or deceptive information intended to manipulate elections, suppress voting, interfere with civic participation, or mislead the public concerning health, safety, emergencies, or other matters of significant public importance.
  • Use AI Features to generate sexually explicit or pornographic content, non-consensual intimate content, or any content that sexualizes, exploits, or endangers minors.
  • Use AI Features for social scoring, unlawful biometric identification, unlawful facial recognition, unlawful emotion recognition, unlawful surveillance, discriminatory profiling, or classification based on protected or sensitive characteristics.
  • Use AI Features to design, develop, acquire, produce, deploy, or materially facilitate weapons, explosives, destructive devices, or biological, chemical, radiological, or nuclear materials.
  • Use AI Features in violation of the terms, safety requirements, acceptable-use policies, or other restrictions of any underlying third-party AI provider.
  • Deploy or rely on AI Output without conducting the review, validation, testing, security analysis, licensing review, and human oversight reasonably appropriate for the intended use.

2.5 Third-Party Services, High-Risk Uses, and Regulated Activities

You may not use the Services in connection with third-party systems, high-risk environments, regulated decisions, or other sensitive activities in a manner that creates unreasonable legal, operational, safety, or compliance risk, including to:

  • Violate the terms, policies, permissions, rate limits, licenses, or access restrictions of GitHub, GitLab, Bitbucket, Jira, an AI provider, a source-code host, an issue tracker, an API provider, or any other third-party service accessed through or connected to the Software.
  • Access, copy, modify, delete, publish, deploy, or otherwise use third-party code, repositories, files, issues, credentials, or data without all required authorization.
  • Use the Services in any safety-critical or life-critical system, including aircraft navigation or control, air-traffic control, autonomous-vehicle control, medical life-support, emergency-response systems, weapons systems, nuclear facilities, critical infrastructure, or any other environment where failure could reasonably result in death, personal injury, material property damage, or severe environmental harm.
  • Rely on AI Output without qualified human review in any legal, medical, financial, insurance, credit, employment, housing, education, immigration, criminal-justice, public-benefit, or other professional or regulated context that materially affects an individual’s rights, safety, eligibility, access, or treatment.
  • Use AI Features to make fully automated decisions, without meaningful human review, concerning employment, education, housing, insurance, credit, healthcare, legal rights, criminal justice, immigration, public benefits, or access to essential services.
  • Use the Services to engage in activity that requires a license, authorization, certification, governmental approval, or professional qualification that you do not possess.
  • Use AI Output as a substitute for independent professional judgment, legally required review, safety testing, code auditing, regulatory approval, or other required oversight.
  • Use the Services in a manner that violates export-control, sanctions, data-localization, privacy, consumer-protection, artificial-intelligence, cybersecurity, sector-specific, or other applicable legal requirements.
  • Incorporate AI Output or third-party code into software, products, or services without independently evaluating applicable intellectual-property rights, open-source licenses, attribution requirements, security vulnerabilities, and other legal or technical restrictions.

2.6 Harm to Users, the Company, or the Services

You may not engage in any conduct that materially harms or creates an unreasonable risk to users, the Company, the Services, or third parties, including to:

  • Harass, threaten, intimidate, deceive, exploit, or interfere with another user.
  • Interfere with another person’s lawful access to or use of the Services.
  • Impersonate the Company, its personnel, another user, a third party, or any governmental or professional authority.
  • Misrepresent your affiliation with the Company or falsely state or imply that the Company endorses, sponsors, approves, certifies, or is responsible for your conduct, code, product, service, content, or AI Output.
  • Publish or disclose information concerning a security vulnerability before the Company has had a reasonable opportunity to investigate and remediate it, where such disclosure would create a material security risk.
  • Use the Services in a manner that exposes the Company, its service providers, other users, or third parties to legal claims, regulatory action, security incidents, reputational harm, operational disruption, or other material risk.
  • Encourage, enable, assist, or permit another person to engage in conduct prohibited by this AUP.
  • Attempt to evade, defeat, retaliate against, or interfere with any investigation, restriction, suspension, termination, remediation measure, or other enforcement action taken by the Company.
  • Engage in any other activity that the Company reasonably determines is abusive, dangerous, fraudulent, unlawful, harmful, or inconsistent with the intended operation of the Services.

3. Reporting Violations and Security Vulnerabilities

If you become aware of an actual or suspected violation of this AUP, misuse of the Services, unauthorized access, or a security vulnerability involving the Services, please report it promptly to support@zide.dev. Include sufficient factual and technical information for us to understand, reproduce where appropriate, investigate, contain, and remediate the issue. Do not publicly disclose a non-public vulnerability, access data beyond what is reasonably necessary to demonstrate the issue, retain or share another person’s information, demand payment as a condition of non-disclosure, or take any action that may increase harm.

We may request your reasonable cooperation, including preservation of relevant information, to help stop, investigate, remediate, or prevent a violation. Reports must be made in good faith. Knowingly false, misleading, abusive, retaliatory, or repetitive reports may themselves violate this AUP.

4. Monitoring, Investigation, and Enforcement

We may, but are not obligated to, monitor Service activity, investigate actual or suspected violations, review relevant account information, usage records, logs, Inputs, AI Output, transcripts, support materials, and other information reasonably necessary to protect the Services or enforce this AUP, subject to our Privacy Policy and applicable law. We may preserve information, restrict functionality, require additional verification, and cooperate with third-party providers during an investigation.

Without limiting any other right or remedy, we may issue a warning; reject, remove, quarantine, or disable access to content; revoke credentials, tokens, credits, or permissions; throttle, block, or restrict requests; suspend or terminate an account, installation, license, subscription, Perpetual License, feature, or access to all or part of the Services; require remediation; cancel transactions; deny future access; pursue legal or equitable remedies; or take any other action we reasonably consider appropriate. We may act immediately and without prior notice when we believe action is necessary to protect users, third parties, the Company, the Services, provider relationships, or the public, or to comply with law.

Suspension, restriction, or termination arising from an actual or suspected violation of this AUP does not entitle you to a refund, credit, reinstatement, restoration of data, or continued access, except to the extent required by applicable law. You remain responsible for amounts owed and for losses, costs, liabilities, or remediation obligations arising from your conduct, subject to the Terms of Use.

We may report actual or suspected unlawful activity, security incidents, exploitation, child-safety concerns, fraud, threats, or other misconduct to law enforcement, regulators, affected parties, service providers, cybersecurity organizations, or other appropriate third parties, and may preserve or disclose information as permitted or required by law. If you believe an enforcement action was taken in error, you may request review by contacting support@zide.dev and providing the information we reasonably request. Review and reinstatement are discretionary except where applicable law provides otherwise.

Our failure to investigate, detect, prevent, or enforce against any conduct does not constitute approval, authorization, or waiver. We have no duty to monitor all activity or content and are not responsible for a user’s or third party’s conduct merely because the conduct occurs through or in connection with the Services.

5. Changes to This Policy

We may update this AUP from time to time to reflect changes in the Services, law, security practices, third-party provider requirements, prohibited-use standards, or business operations. Changes become effective when posted or on the later date stated in the updated AUP. If a change materially affects your rights or obligations, we may provide additional notice through the Website, Software, account, email, or another reasonable method. Your continued use of the Services after the effective date of an updated AUP constitutes acceptance of the revised policy to the fullest extent permitted by law.
